Terms of Service

These Terms of Service (formerly the End User License Agreement) govern your use of JSD ServicePro, including AI-assisted features and the shared diagnostic data network.

1. Acceptance of Terms

By creating an account, accepting a terms acknowledgment, or using JSD ServicePro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not create an account or use the Service. If you accept on behalf of a business, you represent that you have authority to bind that business, and "you" refers to both you and that business.

2. Accounts, Security & Shop Members

You must provide accurate information when creating your account and keep your login credentials confidential. You are responsible for all activity that occurs under your account.

The Service lets you invite shop members (technicians, office staff, administrators) to your shop account. You are responsible for: (a) the acts and omissions of your shop members within the Service; (b) ensuring each member has agreed to these Terms; and (c) promptly removing access for members who leave your business.

Notify us immediately of any unauthorized use of your account.

3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the duration of your active subscription or beta access period, solely to manage your heavy equipment repair business operations. This license may not be sublicensed, assigned, or transferred.

4. Subscription, Billing & Auto-Renewal

Paid access requires a subscription billed through Stripe. Fees are billed in advance on a recurring basis until you cancel. You may cancel at any time; access continues until the end of the current billing period. Prices exclude applicable taxes, which you are responsible for.

If we change subscription prices for existing subscribers, we will notify you in advance; a material price change entitles you to cancel before it takes effect. Refunds are issued at our sole discretion.

5. Acceptable Use

You agree that you will not:

  • use the Service for any unlawful purpose;
  • reverse engineer, decompile, or disassemble the platform, except as permitted by applicable law;
  • upload malicious code or attempt to disrupt, overload, or interfere with the Service or other users;
  • circumvent any security or access controls; or
  • enter personal or customer data that you have no legal right to process.

6. AI-Assisted Features — Human Verification Required

The Service includes AI-assisted features, including a parts invoice scanner that extracts part numbers, descriptions, prices, and quantities from documents you upload or photograph.

AI output is probabilistic. It can be inaccurate, incomplete, or misread the source document, and the same input can produce different output. AI-assisted features are an aid to human review, not a replacement for it.

YOU MUST review and verify every part, price, quantity, tax, and total extracted or calculated by an AI-assisted feature before including it on any invoice, estimate, work order, or record synced to your accounting software. We are not liable for amounts overbilled, underbilled, or incorrectly billed as a result of AI output you did not verify, and you assume full responsibility for records created from AI-extracted data.

7. Shared Diagnostic Data Network

The Service includes an optional, moderated network through which participating shops share anonymized diagnostic patterns (complaint, cause, correction, parts summary) to help other shops diagnose similar equipment problems.

Anonymization. We remove or redact personally identifiable information from contributions before they are shared, and results are only shown once a minimum number of distinct shops have contributed similar patterns. Nevertheless, you are solely responsible for ensuring you never enter customer names, contact details, addresses, or other identifying information into any field that may be shared.

License. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, anonymize, and display your contributions within the network.

Informational only. Contributions from other shops are provided for informational purposes only. They are not a diagnosis, professional advice, or a substitute for your own inspection, testing, and judgment. You rely on them at your own risk and must independently verify any suggestion before acting on it. We make no warranty as to the accuracy, safety, or applicability of community-contributed data.

Moderation. We may edit, hide, or remove any contribution, and may suspend network access for abuse.

8. Beta Program

While the Service is in beta, you may receive access to experimental features. Beta features may be unstable, may change without notice, and may be modified or discontinued at any time. Data entered into beta features may be lost.

Use beta features at your own risk, maintain your own backups using the Service's export tools, and do not rely on beta features for work you cannot afford to redo. Free beta accounts are subject to the liability cap in Section 14, which applies even though you have paid no fees.

9. Customer Communications & Anti-Spam Compliance

The Service can send automated emails (estimates, invoices, service reminders, follow-ups, review requests) to your customers on your behalf. You represent and warrant that you have the necessary consent to contact each recipient — including under Canada's Anti-Spam Legislation (CASL) and any other applicable anti-spam or electronic messaging law — and that you will honor opt-out requests promptly.

We may suspend email sending for your shop if we receive spam complaints or detect abuse. We are not liable for communications sent at your direction to recipients who have not consented.

10. Your Data — Ownership, Export & Deletion

You own the business records (customers, assets, work orders, invoices, and other data) you enter into the Service. We process that data on your behalf under our Privacy Policy. You may export your data using the Service's built-in export tools at any time.

Following termination, we retain your data for a 30-day grace period so you can export it, after which it may be permanently deleted.

11. Third-Party Integrations

The Service integrates with QuickBooks Online, Stripe, Google Calendar, Gmail, and other third-party services. We rely on their APIs, which may change, experience downtime, or deprecate features without notice. We are not responsible for data loss, sync failures, or service interruptions caused by third-party services.

You are solely responsible for reviewing and approving all records before they are synced to your accounting, calendar, or email services.

12. Intellectual Property & Feedback

The Service, including its software, design, and content, is owned by JSD ServicePro and its licensors. These Terms do not grant you any rights to our trademarks or content.

If you submit feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without attribution or compensation.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee the Service will be error-free, uninterrupted, secure, or that any result (including diagnostic, tax, or accounting output) will be accurate.

The Service is a management tool and does not replace professional mechanical, financial, tax, or legal judgment.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR CAD $100 IF YOU PAID NO FEES IN THAT PERIOD (FOR EXAMPLE, DURING A FREE TRIAL OR FREE BETA ACCESS). Some jurisdictions do not allow certain limitations; in that case, these limits apply to the fullest extent permitted.

15. Indemnification

You agree to indemnify and hold harmless JSD ServicePro from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) data or content you enter, including content shared to the diagnostic network; (c) invoices, estimates, or records you send or sync, including unverified AI-extracted data; (d) communications you send to customers who have not consented; or (e) your violation of these Terms or applicable law.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access if fees are unpaid, you breach these Terms, your account is archived, or we are required by law. On termination, your data is retained for 30 days and may then be deleted as described in Section 10.

17. Changes to These Terms

We may update these Terms from time to time. The last-updated date above will change, and material changes will be communicated by email or in-app notification before they take effect. By continuing to use the Service after the effective date, you accept the updated Terms; if you do not accept a material change, you may cancel before it takes effect.

18. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved in the courts of the Province of British Columbia, and you consent to that jurisdiction.

19. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including internet outages, natural disasters, acts of God, war, labor disputes, or failures of third-party services.

20. General Provisions

If any provision of these Terms is unenforceable, it will be modified to the minimum extent necessary and the remainder stays in force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements.
